Echosent Terms of Service

Pre-Acceptance and Binding Agreement:

Welcome to Echosent (“Echosent,” “we,” “us,” or “our”), a service offered as a trade name by Avi Arora (doing business as an individual proprietor, also known by the internet personas “codelemons” and "c0delemons"). These Terms of Service (“Terms”) govern your use of our website, related applications, and services (collectively, the “Service”). By clicking “I Accept,” registering for an account, or otherwise accessing or using the Echosent Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. Your acceptance of these Terms is a legally binding agreement between you and Echosent. If you do not agree to these Terms, please do not use our Service.

1. Description of the Service

Echosent is a subscription-based Software-as-a-Service (SaaS) platform that enables users to create a voice clone from a provided voice sample (approximately one minute in length) of a loved one. Once a voice clone is generated, users can interact via a chat interface by sending text messages and receiving voice responses that simulate the voice of the loved one. Echosent also offers one-time payment options for select features.

2. Eligibility

Age Requirement: You must be at least 18 years old to use the Service.

Consent and Authority: By using the Service, you represent and warrant that you have the legal right and all necessary consents to provide the voice sample of the individual whose voice is being cloned. You further acknowledge that you assume full liability for all content you create or submit to the Service.

Compliance with Laws: You agree that your registration, use of the Service, and any content submitted will comply with all applicable federal, state, and local laws, regulations, and rules.

3. Account Registration and User Data

Google Sign-In: To access the Service, you may sign up using your Google account, which will provide us with your name, email address, and profile picture.

Voice Samples and Content: During registration and throughout your use of the Service, you will upload voice samples and other data. By submitting such content, you represent that you have all necessary rights, licenses, and consents to do so.

User Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account, please contact us immediately at lemonscode@gmail.com.

4. Payment, Billing, and Refund Policy

Payment Structure: Echosent offers both recurring subscription plans and one-time payment options. Subscription plans typically include the creation of one voice clone and a set number of voice messages per month.

Billing Cycles: Recurring subscriptions will be billed automatically on a periodic basis (e.g., monthly) as selected during your registration. One-time payments will be processed at the time of purchase.

Refund Policy: All sales and transactions are final. We do not offer refunds unless required by applicable law.

Changes to Fees: We reserve the right to modify our fees or billing methods at any time, with advance notice provided when feasible.

5. User-Generated Content and Intellectual Property

You Must Have Rights to the Content:

You must not submit any content if you are not the owner of or are not fully authorized to grant rights in all of the elements of that content. Echosent disclaims all liability in connection with user-generated content. You are solely responsible for your content and the consequences of providing it via the Service. By providing content via the Service, you affirm, represent, and warrant to us that:

You are the creator and owner of the content, or have the necessary licenses, rights, consents, and permissions to authorize Echosent and users of the Service to use and distribute your content as necessary.
Your content does not infringe, violate, misappropriate, or otherwise breach any third-party right, including intellectual property, privacy, or publicity rights.
Your content could not be deemed by a reasonable person to be objectionable, profane, indecent, harassing, threatening, or otherwise inappropriate.

Content Storage and Retention:

Free Users: Uploaded voice samples and related data from free accounts will be stored temporarily (for a few hours) and will be deleted if the account is not converted to a paying subscription.

Paying Users: Uploaded voice samples and related data will be stored securely on our servers for the purpose of service delivery and, as technology improves, for potential enhancements to the voice clone.

Ownership: You retain ownership of your original content. However, by submitting any content (including voice samples, text messages, or other data) to our Service, you grant Echosent a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Service.

Third-Party API Content: In the event that content is processed or generated via third-party APIs (such as those used for voice cloning), you agree to comply with the terms and conditions of those third-party providers.

6. AI Training Exclusion

Except as necessary for the operation and improvement of the Service, Echosent will not use your submitted content—including voice samples and generated messages—to train or improve its AI models without your explicit consent.

7. Feedback

If you provide us with any suggestions, comments, or feedback (“Feedback”) regarding the Service, you hereby grant Echosent an unrestricted, perpetual, irrevocable, non-exclusive, fully paid, royalty-free license to use, modify, and exploit such Feedback for any purpose without any obligation to compensate you or provide attribution.

8. License and Restrictions

Limited License: Subject to your complete and ongoing compliance with these Terms, Echosent grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use (unless otherwise agreed).

License Restrictions: You may not:

Reproduce, distribute, publicly display, or create derivative works from the Service’s content.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or non-public APIs of the Service.
Circumvent any security or access control features of the Service.
Interfere with or disrupt the Service or servers or networks connected to the Service.

This reinforces that the Service’s content and technology are proprietary and must not be misused.

9. Prohibited Uses

You agree not to use the Service for any unlawful, harmful, or abusive purposes. In particular, you are prohibited from:

Creating or distributing deepfakes or other content intended to impersonate individuals in a misleading or harmful manner.
Generating or disseminating content that infringes upon any intellectual property rights, including copyright infringement.
Using the Service to create or promote pornography, hate speech, harassment, threatening content, or other offensive material.
Engaging in any activities that could harm the reputation, functionality, or security of the Service.
Misusing the voice cloning technology in any way that deviates from its intended purpose of grief reduction and remembrance.

Echosent reserves the right to terminate or suspend your account immediately if you are found to be in violation of these prohibited uses.

10. Third-Party Services and Integration

Third-Party APIs: Our Service integrates with third-party APIs for voice cloning functionality. Your use of these third-party services is subject to their own terms and conditions.

Links and Integrations: Links to third-party websites or services are provided for your convenience only. Echosent is not responsible for the content or practices of these third parties.

User Compliance: You must comply with all applicable requirements and restrictions imposed by these third-party providers.

11. Support

While we strive to provide timely support through our designated contact email, Echosent is under no obligation to provide ongoing or real-time support. Any support provided will be subject to our published policies and may change without notice.

12. Disclaimers and Limitation of Liability

Disclaimer of Warranties:

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ECHOSENT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability:

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AVI ARORA OR ECHOSENT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU FOR ACCESSING THE SERVICE DURING THE 12 MONTH PERIOD PRIOR TO THE CLAIM.

No Legal Liability for Third-Party Content:

We do not control or endorse any third-party content accessed through our Service and are not responsible for any harm arising from such content.

13. Indemnification

You agree to defend, indemnify, and hold harmless Avi Arora, operating as Echosent, and his respective agents, affiliates, and representatives, from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

Your use or misuse of the Service.
Your violation of these Terms or any applicable law.
Any dispute or claim by a third party regarding your content or your use of the voice cloning functionality.

14. Termination

Termination by You: You may terminate your account at any time by following the procedures provided in the Service.

Termination by Echosent: We reserve the right to suspend or terminate your account, access, or use of the Service at any time and for any reason, including but not limited to violations of these Terms or misuse of the Service. Upon termination, you will no longer have access to your account or any stored content.

Effect of Termination: All rights granted to you under these Terms will immediately cease upon termination. Any fees incurred up to the date of termination will remain payable.

15. Dispute Resolution and Arbitration

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, “Disputes”) shall be resolved by final and binding arbitration conducted in accordance with the rules of a recognized arbitration forum in the United States.

Waiver of Class Actions: All disputes shall be resolved solely on an individual basis, and you hereby waive any right to bring claims as a member of a class, collective, or representative action.

Costs: Each party shall bear its own costs and attorneys’ fees, except that the prevailing party may be awarded its reasonable costs and fees.

16. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the United States and the State of Washington, without regard to its conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in the United States for any disputes not subject to binding arbitration.

17. Modifications and Updates to These Terms

Echosent reserves the right to modify these Terms at any time. Any material modifications will be posted on our website and/or communicated to you by email. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service and terminate your account.

18. Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Echosent regarding your use of the Service.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms remain in full force and effect.

No Waiver: The failure of Echosent to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Additional Policies: Your use of the Service is also subject to our Privacy Policy and any other policies, rules, or guidelines posted on or linked from our website.
